WELCOME TO NEW AGE MUSIC LIBRARY LICENSE AGREEMENT.

By using our New Age Music Library (“Library” or “Music Library”), you are agreeing to abide by our terms and conditions contained in this License Agreement (“License” or “License Agreement”). If you do not agree with them in whole or in any part, you are not permitted to use our Library or download music from it.

Please review these terms of use / License Agreement carefully before utilizing this Music Library so you understand what you are licensing and how you can use it. Your use of the New Age Music Library is subject to your acceptance and compliance with these Terms. The License terms apply to anyone who downloads music, and/or uses or intends to use the music offered for license here for personal or commercial use in their projects covered under this License Agreement.

This License Agreement does not cover sync licensing (such as in a major advertisement or TV/radio commercial, television series, feature film, or large-scale movie or major motion picture project). This License Agreement does not cover music for use in software apps or games. Those are separate licenses. Please contact us if you find music here you want to license for those purposes and/or want to commission one of the musical artists you find here to create music for your larger project or venue.

1. NON EXCLUSIVE/NON TRANSFERABLE/NON ASSIGNABLE/REVOCABLE

A. This license is non-exclusive. This means that the original music creator remains the copyright holder and intellectual property owner of the music. This license grants you (the “Licensee”) permission to use the track or tracks you purchase and download from our Library for your project/s royalty free.

B. The license is non-transferable. This means you cannot sell/resell the license or give or assign the license to any third party. You are the Licensee. This License is granted to one person or one entity.

C. The License is non-sublicensable. You cannot sub-license any music you download here to any third party/anyone else. You cannot distribute any music you download here from our music library to another music library, a stock music site, or stock video sites, royalty free music sites, etc. The music you download here gives you permission to use said music in your project. The music cannot be sold or marketed as your own or as a standalone product under any circumstances.

D. The License is Revocable. We can terminate this License at any time and without notice if we find you have breached the terms of this License Agreement.

E. The License is Worldwide and perpetual.

F. You must be at least 18 years of age to download music from our Music Library. In the event you are not 18 years of age, you must have a parent/guardian give their permission in writing to us in order for you to use our Library. Contact us here.

2. ATTRIBUTION REQUIRED

A. Attribution is required. This means you must credit the music creator in your project.

You (Licensee) agree/s to provide appropriate credit to Licensor/Music Copyright Holder in the following format:

“[Track Name], Copyright [Artist Name], Composer, courtesy of [New Age Music Library: https://www.newagemusiclibrary.com.”

B. YouTube and other online video platforms credit: Please add the credit in the written video description when you upload your video as well as at the end of your actual video in the credits section. In your metadata of your finished product, list our artist as the “Composer.“ Note: Do NOT use Content ID matching or Sync Licensing in your YouTube (or other video platform) videos that use this royalty free licensed music as it may trigger a copyright claim. This is prohibited.

C. Any unauthorized use of the music downloaded from our music Library constitutes copyright infringement and New Age Music Library, as well as the artist, or record label, if applicable, at their discretion, will exercise all legal rights and remedies available to it under worldwide copyright laws in the event of such copyright infringement. Licensee is wholly responsible for any and all monetary damages pursuant to any such copyright infringement.

3. COMMERCIAL USE

A. Your project can be a commercial project. You can monetize your finished project across multiple platforms, stream, and distribute across several platforms with no further payment to us.

B. No resale is permitted of any of the songs or tracks by themselves. By downloading any of our music tracks you are gaining permission to USE the tracks/songs royalty free in your commercial project/s. You cannot use our music to create a music only product. Licensee may not claim ownership or authorship of the Licensed Music. Licensee may not use the Licensed Music in any defamatory, obscene, or unlawful manner.

C. You are allowed to use the music you license here under this License Agreement in ONE project. This means if you download one track, you can use it in ONE project across multiple platforms. You can, however, also download multiple tracks from our Library for use in one project. An example would be if one track isn’t long enough for your project, you can purchase and download another track from the same or a different artist in our Library and use that/those tracks combined along with any other tracks in your ONE project. You can also loop a shorter track you download here to make it fit the total length of your project. If you download music tracks from multiple artists in our Library, make sure you properly credit each artist as outlined in our ATTRIBUTION paragraph of this License Agreement.

D. If you have more than one project, i.e., a second or third project: That is fine, but you must purchase and download the track or tracks you want to use in that additional project, being sure, again, to give attribution to the artist/s in accordance with Paragraph 2 of this License Agreement..

E. If you need music for several commercial projects, for example, a series of 10 or more meditation projects, please see our royalty free SUBSCRIPTION PLAN and its License Agreement, which may be more cost effective for you in that instance.

If you want to use the music in any way not covered by this License, please contact us. If you have any question about how you can use the tracks you purchase here that is not answered here or that you do not understand completely, please contact us for clarification.

4. SPOKEN WORD/VOICE OVER RECORDINGS/HYNOTHERAPY SESSIONS/GUIDED MEDITATIONS AND THE LIKE/OTHER USES – DOs and DON’Ts

A. Your project can include voice-over/spoken word, which should cover at least 1/3 of your project and you can voice over the entire thing as well. Your project can include sound effects, binaural beats, isochronic tones, frequencies, nature sounds, fade ins/fade outs, etc., and you may cut or loop the music track to fit your project. You may combine more than one music track from this Library into your project. You may NOT add vocals/singing performance or other additional instrumentation to the music you download here.

B. You can use the music as a backing track. You can add spoken affirmations, use for hypnotherapy/personalized hypnotherapy recordings, personalized meditations, guided meditations, plus massage therapy, or other healing modalities. You can play the music you license through our Library at your café, meditation retreats, video conference, corporate event, courses (with voice over), yoga classes, online and offline. Through this License, you are limited to ONE physical venue/geographic location only.

C. You may use our music as background music for a YouTube/Vimeo/Tik Tok, etc. video, which you can then distribute, stream, and monetize. However, voice-overs for your video must be at least 1/3 of the YouTube/Vimeo/Tik Tok, etc. video. You may, however, for example, create a nature video or travel video that has no voice over, i.e., use as background music for your nature video. Be sure to see our ATTRIBUTION requirement for your videos. (Paragraph 2 of this License Agreement).

D. You can use the music as an intro or outro for your radio production/program or podcast as an intro/outro for your production. You cannot use our music in the entirety of your podcast or radio program without 1/3 of it being voice over/spoken word.

E. You cannot create a “derivative work,” such as in the case of altering the music slightly, adding beats, nature sounds, etc., and name yourself as “Composer” of that resulting derivative work. The original music creator remains the “Composer” and copyright holder of the music and must be named/credited as such in your product.

F. You cannot sell any of this music as separate stand-alone tracks.

F. You cannot use the same title of a track/song you license from our Library as the title of your media production.

5. LICENSOR

A. New Age Music Library is owned and operated by Journeymakers, Inc. (the Licensor), a private corporation, wholly owned by Dyan Garris. Any music downloaded by you from this Library is licensed to you by and through New Age Music Library / Journeymakers, Inc.

B. This License is governed by United States and international copyright law as well as the laws of the State of Arizona, USA. Except for your right to use the music as specified in this License Agreement, each music creator remains the intellectual property rights holder/copyright owner with entire right, title, and interest in and to all intellectual property rights to the music. This is a license to use, and no ownership whatsoever transfers to the Licensee as a consequence or result of that use.

C. Journeymakers, Inc., nor New Age Music Library, nor Dyan Garris, wholly, jointly, or severally, shall not be liable to you or any other person or entity for any legal damages, class action, punitive, special, indirect, consequential, incidental, or damages, costs, losses, or legal fees, arising out of your use of the music under any circumstance. Nor shall the aforementioned, nor any musical artist whose music you may license from this Music Library, be liable for any damages, costs, legal fees, or losses arising as a result of any modifications made to the music by you or the setting, framework, or context in which the music you license from us here is used in your work. Our liability extends only to the price you have paid to use our music library and the actual price you have paid to download tracks from our music Library.

6. INDEMNIFICATION AND HOLD HARMLESS

To the fullest extent permitted by law, Licensee agrees to indemnify, defend, and hold harmless, Licensor, its affiliates, officers, executives, directors, employees, successors, agents, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses, including, but not limited to, reasonable attorneys’ fees and court costs arising out of, relating to, or resulting from:

A. Any breach of this Agreement by Licensee;

Any negligent act, willful misconduct, error or omission by Licensee, its employees, subcontractors, agents, heirs, or assigns; and
Any injury, including death, or damage to property caused by Licensee in connection with the performance of this Agreement.
Any copyright dispute that may arise from the licensing and use of the music downloaded from our Music Library.

This indemnification obligation shall survive the termination of this License Agreement.

9. MISCELLANEOUS

A. This Agreement is governed by the laws of Arizona, USA.

B. Any other arrangements or understandings must be in writing and agreed to by both parties.

C. In the event of any dispute, Licensee agrees to attempting amicable dispute resolution and/or binding mediation in the case of the dispute remaining unresolved after sixty (60 days).

D. Our timeliness or lack thereof, in enforcing any part of this License Agreement does not constitute a waiver of our rights.

E. This Agreement constitutes the entire agreement between the parties.

F. These terms and conditions are subject to change at any time without notice.

NO REFUNDS. You are able to hear the whole track before purchasing through our on-site music players. Choose wisely, as we do not grant refunds or exchanges and make no guarantees as to the suitability of any music track for your intended purpose. All purchases are final.
